BYLAWS
Constitution and By-laws
ARTICLE I—NAME
1.1 The name of this club will be known as Suncook Valley Soccer Club
ARTICLE II—PURPOSE
2.1 The Purpose of the Suncook Valley Soccer Club is to provide recreational soccer programs throughout the area.
2.2 The Suncook Valley Soccer Club’s mission is to develop players to reach their potential as players, The Suncook Valley Soccer Club is an organization comprised of volunteers. We pledge to provide our soccer teams and the teams we meet in a match the opportunity to play the game in a competitive and positive environment, to build self-esteem, sportsmanship, fair play, and adherence to the laws of the game.

2.4 We are affiliated with New Hampshire Soccer Association and USYS.
ARTICLE III--MEMBERSHIP
3.1 MEMBERS;
Members are the parents, and/or guardians, administrators and players participating in the programs of the Suncook Valley Soccer Club.
3.2 MEETINGS;
To the best of the ability of the serving body, meetings will be conducted as needed. An annual general club meeting must occur in the months of July or August of each year for the election of Club officers if needed, provide club financial status, and inform members of the preceding season’s performance.
3.3 DUES
Dues of the Suncook Valley Soccer Club will be set annually by the presiding Board.
ARTICLE IV—THE BOARD
4.1 GENERAL POWERS
The affairs of the Suncook Valley Soccer Club shall be managed by a seven (7) member Board consisting of President, Vice-president, Secretary, Treasurer and Member-at-large (2) and Director of Operations.
4.1a--PRESIDENT
· The President shall have general active management of the affairs of the organization. The President shall preside at all meetings of the membership and shall:
· See that all orders and resolutions of the Board of Directors are carried into effect
· Shall be an ex officio member of all standing committees
· May execute and deliver in the name of the organization any deed, mortgages, bonds, contracts or other instruments pertaining to the affairs of the organization; and in general, shall perform all duties usually incident to the office of President.
· The President shall have other duties as may from time to time be prescribed by the Board of Directors.
· The President will act as the organization representative at NHSA and all league affiliations.
4.1b--VICE PRESIDENT
· The Vice President shall have the powers and shall perform the duties as may be prescribed by the Board or by the President.
· In the absence or disability of the President, the Vice-President shall have the powers and duties of the President.
· The Vice President will act as the organization liaison to the Pittsfield Youth Baseball Association
4.1c—SECRETARY/REGISTRAR
· The Secretary shall attend all meetings of the members and of the Board.
· The Secretary shall record all proceedings of these meetings in the Minute Book of the organization.
· The Secretary shall give proper notice of meetings to members and Directors.
· The Secretary will be responsible for the team registrations, including league and tournament play.
· The Secretary shall perform other duties as may from time to time be prescribed by the Board or by the President.
4.1d--TREASURER
· The Treasurer shall keep accurate accounts of all moneys of the organization received or disbursed,
· The Treasurer shall deposit all moneys, drafts and checks in the name of, and to the credit of, the organization in banks and depositories as a majority of the Board shall from time to time designate.
· The Treasurer shall have power to endorse for deposit, all notes, checks, and drafts received by the organization.
· The Treasurer shall disburse the funds of the organization as ordered by the Board,
· The Treasurer shall give to the Board, whenever required, an account of all transactions as Treasurer and of the financial condition of the organization.
· The Treasurer shall complete or have completed all state, federal and local income tax forms required by law.
· The Treasurer shall perform other duties as may from time to time be prescribed by the Board or by the President.
4.1e—Member-at-large (2)
· The Member-at-large shall perform duties as necessary within the organization. For example fund-raising, purchasing, advertising, as well as serve as a member of any city or state committees as needed.
4.1f-Director of Operations
* The Director of Operations shall be in charge of field maintenance and all equipment related issues.
* The Director of Operations shall perform other duties as may from time to time be prescribed by the Board or by the President.
4.2 TENURE
The Board shall be duly elected annually at the general Club meeting.
Notice to vacate any position must be submitted to the Secretary by May 31st of each year.
ARTICLE V--MEETINGS OF THE BOARD
5.1 ANNUAL MEETINGS
An annual meeting of Club members shall be held at the conclusion of the spring outdoor season, in July or August.
5.2 REGULAR MEETINGS
Regular meetings of the Board may be held as determined by the Board, but at a minimum of once every six months.
5.3 SPECIAL MEETINGS
The President or any Board member may call Special meetings as needed.
5.4 NOTICE OF MEETINGS
All members will be notified of general meetings and the annual meeting via e-mail at least five (5) days prior to such meetings.
5.5 QUORUM
A majority of the Board shall constitute a quorum for the transaction of business at any meeting.
5.6 VOTING BY PROXY
Board members are prohibited to appoint proxies for them or vote by proxy.
ARTICLE VI--BOOKS AND RECORDS, FISCAL YEAR
6.1 BOOKS AND RECORDS
The Board of the organization shall cause to be kept:
· Memberships register, giving the names and addresses of the members.
· Records of all proceedings of members, Board members, and Committees.
· Complete books of accounts showing all receipts and expenditures.
· Any other records and books of account as shall be necessary and appropriate to the conduct of the organization’s business.
The Treasurer shall timely file all required Federal, State and Local tax forms.
6.2 INSPECTION OF RECORDS
A member, his agent or his attorney, may inspect all books and records for any proper purpose at any reasonable time.
6.3 FINANCIAL RECORDS
Upon request by a member, the organization shall furnish the member with a statement showing the financial result of all operations and transactions affecting income and surplus during its last annual accounting period and a balance sheet containing a summary of its assets, and liabilities as of the closing date of such accounting period.
6.4 FISCAL YEAR
The fiscal year of the organization shall be the calendar year.
ARTICLE VII--AMENDMENTS OF BY-LAWS
7.1 AMENDMENT BY BOARD MEMBERS
The Board may propose an amendment to the By-laws. The proposed Amendment will be submitted in writing, at least one week before scheduled meeting, to all board members for adoption at a scheduled meeting of the Board. The Board may amend the By-laws by a two-thirds vote.
ARTICLE VIII--ASSETS
8.1 Notwithstanding any other provision of these By-laws, no member, trustee, Board Member, employee or representative of this organization shall take any action or carry on any activity by or on behalf of the organization not permitted to be taken, or carried on by an organization exempt under Section 501(c) (3) of The Internal Revenue Code of its regulations as they now exist or as they may hereafter be amended, or by an organization contributions to which are deductible under Section 170(c) (2) of such code and regulations as they now exist or as they may hereafter by amended.
8.2 In the case of dissolution of this organization, the funds and assets of said organization shall be transferred to any other organization as then exempt from tax by virtue of section 501c (3) of the Internal Revenue Code as deemed appropriate by the Board.
ARTICLE IX--GRIEVANCE POLICY
9.1 Any grievance presented to the board of directors in writing will be submitted to a grievance committee. Upon receipt the President shall call a special meeting for the grievance committee to meet and discuss the issue at hand.
9.2 The grievance committee will be selected when necessary by lottery of all current members and will consist of five members, with no more than two members being from the board of directors.
9.3 Any parties involved in the grievance at hand will be asked to meet individually with the grievance committee.
9.4 The decision of the grievance committee is final and will be presented to the board of directors for implementation.
9.5 Appeal procedures - The provisions of this bylaw shall apply to all Members of the Suncook Valley Soccer Club. No affiliate of the Suncook Valley Soccer Club shall limit the right of a player, coach, team, etc., to appeal a decision to the next higher level.
When an appeal or protest is made to the Suncook Valley Soccer Club, the Appeals Committee shall hear that appeal.
An appeal to the Suncook Valley Soccer Club is made in writing within ten (10) days of the incident. The written appeal must be accompanied by a check for the appeal submittal, $25.00, made out to the Suncook Valley Soccer Club. The appeal fee is non-refundable regardless of the outcome of the appeal. The appeal must include four (4) copies of all documents pertinent to the appeal.
The Suncook Valley Soccer Club Appeals Committee must hold a formal hearing to which all parties have been notified and invited within fourteen (14) days of the receipt of the written appeal. The Suncook Valley Soccer Club Appeals Committee will render a decision in writing to all parties in the appeal.
Any decision rendered by the Suncook Valley Soccer Club Appeals Committee may be appealed directly to the USSF National Appeals Committee. The appeal to USSF must be made by completing the Notice of Appeal Form and submitting that form and the required Appeal fee to USSF. The USSF National Appeals Committee has the authority to approve, modify, or reverse a decision made by the Suncook Valley Soccer Club Appeals Committee. No party to an appeal or protest may invoke the aid of the Courts of any State or of the
ARTICLE X--INDEMNIFICATION
10.1 The Suncook Valley Soccer Club shall indemnify and hold harmless any Board Member or employee of the Suncook Valley Soccer Club, their personal representatives and heirs against reasonable legal expense of settlement which the Suncook Valley Soccer Club previously approves, actually and reasonable incurred in connection with an actual or threatened legal proceeding, if such person acted legally, in good faith, and was duly authorized to act on behalf of the Suncook Valley Soccer Club in the transaction from which legal liability arose, which was official Suncook Valley Soccer Club business, except in relation to matters as to which the Board Member or employee of the Suncook Valley Soccer Club shall have been guilty of negligence or misconduct in respect of the matter in which indemnity is sought.
10.2 To preserve this right of indemnity, such person shall immediately notify the Suncook Valley Soccer Club of such actual or threatened litigation, whereupon the Suncook Valley Soccer Club shall have the right to direct defense thereof, including, but not limited to selection of counsel and direction of settlement negotiations.
ARTICLE XI—MISCELLANEOUS
11.1 The Suncook Valley Soccer Club is required to meet all USYS and NHSA requirements, such as, but not limited to, filing an electronic database, yearly, listing, contacts, administrators, coaches, and players. Database to include all standard information, such as, name, address, DOB, phone, ID number and e-mail address.
11.2 RULES OF ORDER
Roberts Rules of Order shall govern the proceedings of all meetings of the organization, except as provided in these by-laws.
11.3 GUIDELINES AND RULES
The Board Members, by majority vote, may promulgate guidelines or rules for the operation of the organization.

I. Code of Ethics
1. The coach must never place the value of winning over the safety and welfare of his/her players
2. A coach must hold him/herself to the highest standards of behavior. He/she must remember that they serve as one of the most influential role models for their players. Any violation of the player's trust, either in word or action, on or off the field, cannot be tolerated.
3. The laws of soccer were written to ensure the continous flow of action. These laws have the safety of the players as their primary goal. Coaches must always play within the rules and never seek unfair advantage by teaching deliberate, unsportsmanlike behavior to their players.
4. Coaches must adhere to the letter and spirit of the rules.
5. Coaches who circumvent the rules to gain advantage have no place in soccer.
6. Circumvention of eligibility rules must be avoided. Coaches who use ineligible players will be dealst with quickly and severely.
7. Coaches are responsible for their player's actons on the field. Rough house tactics, illegal substitutions, deliberate faking of injuries are prohibited.
8. The coach must behave in such a manner that the principles, integrity, and dignity of the sport are not compromised.
9. Officials must have the support of the coaches, players, and organizations. Public or private criticism of officials demeans the game. Coaches must also refrain from criticizing officials to their players. Criticism of officials and dissent towards officials during the course of the game is strictly prohibited.
10. Coaches must behavior must be such as to bring credit to himself, his/her organization, and soccer in general.
11. Coaches have the responsibility to be as inconspicous as possible during the game.
12. It shall be considered unethical for a coach to have any verbal dissent during the game with opposing coach, bench, or players. Physically contacting an opposing coach or player in an aggressive manner must be considered highly unethical.
13. Coaches will not belittle their players by yelling at them during the course of the game. Such actions detracts from the game and negatively impacts the performance of the players and the team.
14. Coaches must remember that they are involved in coaching for the players. They should always have the players best interest in mind. They should seek to provide an enviroment where players not only develop as players of the game, but as people. They should never place their own concerns of advancement above those of their players.
II. Violations
Alleged violation of the code of ethics may be brought to the attention of the president or any memeber of the SVSC Board of Directrors. All alleged violations will be forwarded to the SVSC disciplinary review board for review and further action, if any.
III. Sanctions
1. If an alleged violation is brought to the attention of the disciplinary board, and the board decides the coach acted in an unethical manner or in a manner which was not in the best interest of soccer, they may impose the following sanctions:
a. Letter of reprimand
b. Probation
Any additional violation of the code of ethics during the probationary period will result in the immediate suspension of the coach.
2. Any coach who has been acused of violating the code of ethics shall be given the oppurtunity to appear before the disciplinary review board and to present evidence refuting said allegations.
IV. Appeals
Any descision of the disciplinary board may be appealed within 30 days of the board's decision to the SVSC Board of Directors. The SVSC Board will conduct a De Novo hearing. The Board will be empowered to make it's own decision and is empowered to impose it's own sanctions or reccomendations.
